These Terms of Service (“Terms”) govern your access to and use of LoopNurture’s website, apps, and APIs (the “Service”).
LoopNurture is legally operated as Tang Growth Studio (北京唐朝增长咨询工作室 — Sole Proprietorship).
By creating an account or using the Service, you agree to these Terms.

1. Accounts & Eligibility

You must be at least 18 and capable of forming a binding contract.
You are responsible for safeguarding login credentials and notifying us of unauthorized access.

2. Subscriptions, Billing & Taxes

The Service is offered on a subscription basis. Fees are billed in advance and may be subject to taxes depending on your billing location.
Free Trial: New accounts receive a limited trial as stated on the pricing page.
Plan Changes: You may upgrade or downgrade at any time. Upgrades may be charged prorata; downgrades apply at the next renewal.

3. Refunds & Cancellation

You may cancel at any time.
Customers are entitled to request a full refund within 14 days from the original transaction date without providing a reason, provided the Service has not been materially used or consumed.
Refund requests submitted after the 14-day period may not be eligible.
Refunds, once approved, are processed to the original payment method.

4. Permitted Use & Acceptable Use Policy

You must not:
  • Violate laws or third-party rights
  • Send unsolicited or non-compliant messages
  • Interfere with security, abuse rate limits, or misuse the Service
  • Upload harmful code or unlawful content

All emails sent through the Service must be user-initiated and compliant with applicable anti-spam laws, including CAN-SPAM (U.S.) and CASL (Canada).
We may suspend or terminate accounts for violations.

5. Your Content & Data

Users are the legal senders of any messages transmitted through the Service.
Users are solely responsible for the content of messages and for ensuring that all recipients have provided valid consent in accordance with applicable anti-spam and data protection laws (including but not limited to CAN-SPAM, CASL, and GDPR where applicable).
Messages are transmitted on behalf of users through third-party email delivery services (e.g., SendGrid). We do not originate or authorize messages, and we do not assume responsibility for obtaining consent or for compliance with marketing regulations.
We may suspend or terminate accounts that violate these obligations or pose risks to deliverability or platform security.

6. Intellectual Property

All IP in the Service belongs to LoopNurture and its licensors.
No rights are transferred beyond those necessary to use the Service.

7. Third-Party Services

Your use of authorized integrations is subject to their policies.
We are not responsible for third-party actions.

8. Beta Features

Experimental features may be offered “as is” and may change or be removed at any time.

9. Privacy

Our processing of personal information is described in the Privacy Policy.
Use of the Service constitutes acceptance of that Policy.

10. Disclaimers

The Service is provided “as is” without warranties.
We do not guarantee specific performance, deliverability, or results.

11. Limitation of Liability

To the maximum extent permitted by law:
We are not liable for indirect damages or loss of profits, data, or business.
Total liability shall not exceed fees paid in the prior 12 months.

12. Indemnification

You agree to defend and indemnify LoopNurture from claims arising from:
your content, your use of the Service, or your violation of these Terms.

13. Suspension & Termination

We may suspend or terminate access for violations, legal compliance, or security concerns.
You may terminate via account settings.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware, USA.
Disputes will be handled in Delaware courts unless arbitration is mutually agreed.

15. Changes

We may modify these Terms. Continued use indicates acceptance.
